1. What bMovies is
bMovies (the "Platform") is an online service operated by The Bitcoin Corporation Ltd that allows you to commission AI-produced short films, receive digital royalty shares in those films as BSV-21 tokens on the Bitcoin SV blockchain, and earn a proportional share of ticket revenue when viewers stream them. By accessing or using the Platform you agree to these Terms of Service.
2. Your acknowledgement that royalty shares are securities
Royalty shares issued through the Platform (whether in individual films, in bMovies-branded studios or directors, or in the $bMovies platform token) are, in our view, financial instruments that likely fall within the definition of a security under UK law and specifically the Financial Services and Markets Act 2000. We do not try to disguise this with a "utility token" framing. The shares are offered on this basis.
Because royalty shares are securities:
- You must pass identity verification (KYC) before any share is issued to you.
- You must be a person or entity to whom the shares may lawfully be offered under the rules applicable in your country of residence.
- You may not resell shares into a market or to a counterparty where such a sale would be unlawful.
- You understand that the value of shares can go down as well as up, and you may lose the entire amount you paid.
The Platform is not authorised or regulated by the FCA. Until regulated counsel confirms the Operator's chosen path, no offers of royalty shares are made to UK retail investors. Offers will be made only to persons who self-certify as sophisticated investors or high-net-worth individuals under Articles 48, 50 or 50A of the Financial Promotions Order 2005, via the Platform's sign-up flow, subject to the statutory self-certification form and a 24-hour cooling-off period. 3. Non-custodial design
The Operator is a non-custodial platform:
- We do not hold your private keys. Royalty share tokens are delivered to an address you control (either a BRC-100 wallet you connect to the site — Metanet Client, Yours Wallet, HandCash, or similar — or a BSV address you supply in your account profile).
- We do not operate a wallet or a deposit balance on your behalf. The only money we handle is the one-time commission fee you pay via Stripe at checkout; once the production pipeline runs, the resulting royalty share is minted directly into your address and never sits on our books.
- Ticket revenue flows via an on-chain distribution path (under development) that routes pro-rata payouts directly from viewer payments to shareholder wallets. Where this path is incomplete and payouts must temporarily be settled off-chain (for example via Stripe), we will clearly disclose the arrangement and the limits involved.
- If the Platform is taken offline, your royalty shares continue to exist on the Bitcoin SV blockchain and remain spendable from the wallet that holds them. You do not need the Platform to keep your shares.
This is a deliberate architectural choice. It limits our liability footprint and reduces the FCA-perimeter activities we engage in, but it also means you are responsible for the security of your own wallet. We cannot recover lost keys, reverse transactions, or reinstate shares from a lost wallet.
4. Commission tiers
Four commission tiers are available through the Platform:
- Pitch — $0.99. A one-line logline, a one-page synopsis, and a movie poster. Royalty shares registered to the commissioner.
- Trailer — $9.99. A short teaser — 32 seconds of real video, a one-page treatment, a six-frame storyboard, a 60-second score.
- Short — $99. A complete ~64-second short film with multi-scene video, voice, and score.
- Feature — $999. A full narrative produced by an 11-specialist crew across one of six founding studios.
In all tiers, if you commission a fresh work with no parent, you receive 99% of the royalty shares on that work and the platform retains 1% as an infrastructure fee. If you build on top of an existing trailer or short from the catalogue, an "IP cascade" applies — see clause 6.
Commission fees are charged at checkout and are non-refundable once the production pipeline has begun. Refunds before pipeline start are made at the Operator's discretion. AI-generated content is produced on a best-effort basis; the Operator does not warrant the creative quality of any delivered work.
5. Identity verification (KYC) and eligibility
KYC is required before any royalty share is delivered. Verification is performed by Veriff, a third-party identity verification provider. The Operator stores only the verification status and a reference ID, never your identity documents themselves — see the Privacy Policy.
You must be at least 18 years old and legally competent to enter into a binding agreement in your country of residence. You must not be a resident of, or located in, any jurisdiction where the offer or sale of the Platform's royalty shares would be unlawful. The Operator may, at its discretion, block access from jurisdictions it is unable to serve lawfully.
6. The IP cascade
A trailer is always standalone and delivers 99% of its royalty shares to the commissioner. A short or a feature can either be commissioned fresh (delivering 99%) or derived from an existing parent work in the catalogue:
- Short derived from a trailer — commissioner receives 89%; 10% cascades perpetually to the trailer's royalty holders; 1% to the platform.
- Feature derived from a short (no grandparent trailer) — commissioner receives 89%; 10% to the short's holders; 1% to the platform.
- Feature derived from a short with a parent trailer — commissioner receives 84%; 10% to the short's holders; 5% to the trailer's holders; 1% to the platform.
The cascade is opt-in at commission time. Choosing a parent gives you access to that work's concept, audience and upstream rights in exchange for the cascade fraction.
7. Tickets, revenue and royalty distribution
Viewers pay a flat ticket price to watch a production. Ticket revenue is split pro-rata among the royalty shareholders of the relevant work, subject to the IP cascade. Distribution is handled by the Platform's on-chain distribution mechanism. The Operator retains 1% of each production's royalty supply permanently as its platform fee.
The Operator makes no guarantee about the level of ticket revenue any production will generate. Past performance of other productions is not indicative of future revenue. Royalty shareholders may receive no distribution at all if a production fails to attract viewers.
8. The $bMovies platform token
$bMovies is a BSV-21 token issued by the Operator on the Bitcoin SV blockchain. It represents a right to receive 1% of every production's royalty supply, passed through to $bMovies holders pro-rata. It is subject to a separate prospectus which forms part of these Terms when you acquire any $bMovies shares.
9. Secondary transfers
Royalty shares may be transferred to another person subject to that person completing KYC with an authorised provider. Transfers that bypass KYC verification are not recognised by the Platform and the transferee will not receive royalty distributions until KYC is completed. The Operator is not a party to any secondary transfer and does not warrant any price or market for the shares.
10. Data, rights, and content
Content you provide to the Platform (pitch descriptions, film ideas, revision instructions) is processed to produce your commissioned work. The AI-generated outputs belong to you as the commissioner, subject to the royalty share structure. The Operator retains the right to display the finished work on the Platform's public catalogue and to use promotional materials (poster, trailer, logline) for marketing the Platform itself.
11. Limitation of liability
To the maximum extent permitted by English law, the Operator's total liability to you for any claim arising from your use of the Platform is limited to the amount you paid for the commission or share purchase to which the claim relates. We are not liable for indirect, consequential or incidental losses, including lost profits, lost revenue, or lost opportunity. Nothing in this clause excludes liability for death, personal injury, or fraud.
12. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute will be resolved in the courts of England and Wales.
13. Changes to these Terms
We may update these Terms. Material changes will be notified by email to active commissioners and posted on this page. Continued use of the Platform after an update constitutes acceptance.
